1. Special notice
1.1
NI HAO agrees to comply with the provisions of this user registration agreement (hereinafter referred to as "this agreement"), where it provides related services based on the Internet and mobile networks (hereinafter referred to as "network services") and its operating rules issued from time to time. In order to obtain network services, service users (hereinafter referred to as "users") should agree to all the terms of this agreement and follow the prompts on the page/customer service personnel to complete all registration procedures. Please be sure to carefully read and fully understand the contents of the terms of this agreement. Please pay attention to the terms of disclaiming or limiting NI HAO's liability, the terms of rights license and information used, the terms of applicable law and dispute resolution, etc. Once the user registered, it means that the user fully accepts all the terms of this agreement. However, if the user does not agree to this agreement or any of its terms, the registration process shall be stopped immediately, and NI HAO will not be able to provide you with Internet services. Underage users should read this agreement accompanied by their parents or guardians, and seek the consent and guidance of their parents or guardians before submitting personal information.
1.2
After the user has been successfully completed the registration, NI HAO will give each user an account and corresponding password, and the account and password are kept by the user ; Users shall be legally responsible for all activities and events conducted with their user accounts.
1.3
After the registration is successful, NI HAO will call each registered user to further introduce the company's related services. The user's registration is deemed to agree to accept further telephone services from the company.
2. Service content
2.1
The details of NI HAO network service is provided by NI HAO according to the actual situation. For instance, 1-to-1 online courses, 1-to-4 online courses, public courses, forums, various services based on Whatsapp service accounts, Facebook, etc.
2.2
Some of the network services provided by NI HAO (such as 1-to-1 online courses, 1-to-4 online courses, etc.) are paid network services, users need to pay a certain fee to NI HAO for using paid network services. For paid network services, NI HAO will give users clear reminders before using them. Only when the user confirms that he/she is willing to pay the relevant fees according to the prompt, the user can use the paid network service. If the user refuses to pay the relevant fees, NI HAO has the right not to provide such paid network services to the user.
2.3
User understanding, NI HAO only provides related network services. In addition, equipment related to the according network services (such as personal computers, mobile phones, and other devices related to accessing the Internet or mobile networks) and required fees (such as telephone charges and Internet access fees paid for accessing the Internet) , the mobile phone fee paid for using the mobile network) shall be borne by the user.
3. Service Changes, Interruptions or Suspension
3.1
In view of the particularity of network services, the user agrees that NI HAO has the right to change, interrupt or terminate some or all of the network services (including paid network services) at any time. NI HAO does not need to notify the user if there is any changes, interruption or suspension of the network service when it is a free network service, nor assume any liability to any user or any third party; If the changed, interrupted or terminated network service is a paid network service, NI HAO shall notify users in advance before changes, interruptions or terminations, and shall provide the affected users with alternative fee-based network services of equivalent value. If the user is unwilling to accept alternative paid network services, and for the service fee that the user has paid to NI HAO, NI HAO shall refund the remaining service fee to the user after deducting the corresponding service fee according to the actual use of the corresponding paid network service by the user.
3.2
The user understands that NI HAO needs to regularly or aperiodically repair or maintain the platform (such as Internet website, mobile network, etc.) or related equipment that provides network services, NI HAO does not bear any responsibility for the interruption of paid network services within a reasonable period of time due to such circumstances, but NI HAO should give prior notice as much as possible.
3.3
In the event of any of the following situations, NI HAO has the right to interrupt or terminate the provision of network services (including paid network services) to users at any time without any liability to users or any third party:
1. The personal information provided by the user is not true;
2. The user violates the rules of use stipulated in this agreement;
3. The user fails to pay the corresponding service fee to NI HAO as required when using the paid network service.
3.4
If the account of the free network service registered by the user is not actually used within 180 consecutive days, or the account of the paid network service registered by the user is not actually used within 180 consecutive days after the service period of the paid network service subscribed by the user, then NI HAO has right to delete the account and stop providing related network services to the user.
4. Service regulations
4.1
Users must provide accurate personal information to NI HAO when applying for NI HAO network services. If there is any change in personal information, it must be updated in time.
4.2
Users should not transfer or lend their accounts and passwords to others. If the user finds that the account has been illegally used by others, the user should notify NI HAO immediately. NI HAO does not assume any responsibility for the illegal use of the account and password by others due to hacking or user negligence.
4.3
The user agrees that NI HAO has the right to place various commercial advertisements or other types of commercial information in various ways during the process of providing network services (including but not limited to placing advertisements on any page of the NI HAO website), and the user agrees to accept NI HAO to send product promotions or other relevant commercial information to users by email or text message or by other means.
4.4
For any content uploaded by the user to the publicly available area on the NI HAO website through the NI HAO network service, the user agrees that NI HAO has the free, perpetual, irrevocable, non-exclusive and fully sublicensable rights and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, transmit, perform and display such content (in whole or in part), and/or incorporate such content into currently known or hereafter developed in any other form of work, media or technology.
4.5
Users must abide by the following principles when using NI HAO network services:
1. Comply with the relevant laws and regulations of Hong Kong;
2. Comply with all network agreements, regulations and procedures related to network services;
3. Do not use the network service system for any illegal purpose;
4. Do not use NI HAO's network services in any form to violate NI HAO's commercial interests, including but not limited to publishing commercial advertisements that are not authorized by NI HAO;
5. Do not use the NI HAO network service system to conduct any behavior that may adversely affect the normal operation of the Internet or mobile network;
6. Do not use the network services provided by NI HAO to upload, display or disseminate any false, harassing, slanderous, abusive, threatening, vulgar, obscene or any other illegal information;
7. Do not infringe the patent rights, copyrights, trademark rights, reputation rights or any other legal rights of any other third party;
8. Do not use the NI HAO network service system to conduct any behavior that is not conducive to NI HAO;
4.6
NI HAO has the right to review and supervise the user's use of NI HAO network services (including but not limited to reviewing the content stored in NI HAO by the user), if the user violates any of the above regulations when using the network service, NI HAO or its authorized person has the right to require the user to correct or directly take all necessary measures (including but not limited to changing or deleting the content posted by the user, suspending or terminating the user's right to use network services) to mitigate the impact of the user's misconduct.
4.7
Any statements, notices, warnings and other content made by NI HAO in various ways (including but not limited to web announcements, emails, SMS reminders, etc.) regarding the use of certain specific NI HAO network services are regarded as part of this agreement. If users use These NI HAO network services are deemed as users agreeing to the content of such statements, notices, and warnings.
4.8
NI HAO has the right to block, lock, or even cancel any user with the following information (including but not limited to) in their nickname:
1. Use nicknames that seriously violate the laws and regulations of Hong Kong, moral order and good customs, and contain or conceal reactionary, pornographic and other information (including symbols, addresses, etc.);
2. Use the real names, characters, numbers, stage names, pen names, titles, etc. of influential celebrities at all times and in all places, as well as celebrities on the Internet, as nicknames;
3. Use the names and logos of commercial organizations, enterprises, institutions, well-known companies or brands as nicknames;
4. Nicknames containing information such as gender discrimination, racial discrimination, and geographical discrimination;
5. Nicknames that contain information that is likely to cause ambiguity and misunderstand others;
6. Using a nickname with a NI HAO-related name without the official permission of NI HAO;
7. Similar to the nicknames of NI HAO teachers and community managers, which may cause confusion or disputes;
8. Nicknames with obvious advertising nature;
9. Nicknames with information prohibited by other laws and regulations and NI HAO rules.
5. Intellectual property rights
5.1
Any text, pictures, graphics, audio and/or video materials contained in the network services provided by NI HAO are protected by copyright, trademark and/or other property ownership laws. The media is published, broadcast, adapted or republished for broadcast or distribution, or used for any other commercial purpose, directly or indirectly. All such materials, or any part of them, may be stored on a computer for personal and non-commercial use only. NI HAO shall not, in any form, compensate the user or any third parties are responsible.
5.2
All rights to any software used by NI HAO to provide network services (including but not limited to any images, photos, animations, videos, audio recordings, music, text and additional programs, and accompanying help materials contained in the software) are Belonging to the copyright owner of the software, users are not allowed to reverse engineer, decompile or disassemble the software without the permission of the software copyright owner.
6. Privacy Policy
Protecting user's privacy is a basic policy of NI HAO. For NI HAO's privacy policy, please refer to the "Privacy Policy" on the NI HAO registration page.
7. Disclaimer
7.1
The user expressly agrees that the risks of using NI HAO network services will be entirely borne by himself; all consequences arising from the use of NI HAO network services will also be borne by himself, and NI HAO does not assume any responsibility for the user.
7.2
NI HAO does not guarantee that the network service will definitely meet the user's requirements, nor does it guarantee that the network service will not be interrupted, nor does it guarantee the timeliness, security, and accuracy of the network service.
7.3
NI HAO does not guarantee the accuracy and completeness of the external links set up for the convenience of users, and at the same time, NI HAO does not assume any responsibility for the content on any webpage that is not actually controlled by NI HAO to which such external links point.
7.4
NI HAO does not assume any responsibility for network service interruption or other defects caused by force majeure or reasons beyond NI HAO's control, but will try its best to reduce the losses and impacts caused to users.
7.5
The user understands and agrees that NI HAO does not need to bear any responsibility for the quality defect itself and any loss caused by the following products or services provided by NI HAO to the user:
1. Various network services provided by NI HAO to users free of charge;
2. Any product or service presented by NI HAO to the user;
3. Various products or services provided by NI HAO to paid network service users.
7.6
NI HAO teachers provide professional or non-professional knowledge content on non-NI HAO platforms.
7.7
For the photos, articles or discussion forum content uploaded by NI HAO users, the user shall guarantee the knowledge, professionalism and legality of the photo, article or discussion forum content. If there are legal consequences such as infringement, the user shall bear the responsibility, and NI HAO shall not bear any responsibility.
8. Liquidated damages
8.1
If NI HAO violates the relevant laws, regulations or any terms of this agreement and causes losses to the user, NI HAO agrees to bear the liability for the resulting damages.
8.2
The user agrees to protect and maintain the interests of NI HAO and other users. If the user violates relevant laws, regulations or any terms of this agreement and causes losses to NI HAO or any other third party, the user agrees to bear the resulting damages responsibility.
9. Contract Amendments
9.1
NI HAO has the right to modify any terms of this agreement at any time. Once the content of this agreement changes, NI HAO will directly publish the revised content of the agreement on the NI HAO website. This announcement is deemed that NI HAO has notified the user of the revised content. NI HAO can also prompt users to modify the content through other appropriate methods.
9.2
If you do not agree to the modification made by NI HAO to the relevant terms of this agreement, the user has the right to stop using the network service. If the user continues to use the network service, it is deemed that the user accepts the modification made by NI HAO to the relevant terms of this agreement.
10. Delivery of notices
10.1
All notices from NI HAO to users under this agreement can be sent through webpage announcements, emails, SMS, WeChat, Facebook, Whatsapp or regular letters; such notices are deemed to have been delivered on the date of sending people.
10.2
The user's notice to NI HAO shall be delivered through the contact information such as the correspondence address, fax number, and email address officially announced by NI HAO.
11. Jurisdiction
11.1
The conclusion, execution and interpretation of this agreement and the settlement of disputes shall be governed by the laws of Hong Kong and subject to the jurisdiction of the Hong Kong courts.
11.2
If there is any dispute between the two parties on the content of this agreement or its implementation, both parties should try to resolve it through friendly negotiation; if the negotiation fails, either party can file a lawsuit in the court where NI HAO is located.
12. Other provisions
12.1
This agreement constitutes the complete agreement between the two parties on the agreed items of this agreement and other related matters. Except for the provisions of this agreement, no other rights are granted to the parties to this agreement.
12.2
If any clause in this agreement is completely or partially invalid or non-executable for any reason, the rest of the clauses in this agreement shall still be valid and binding.
12.3
Headings in this agreement are for convenience only and shall be ignored in the interpretation of this agreement.
